LuckyShort User Agreement

1. Introduction

This Agreement constitutes a legally binding contract between you (hereinafter referred to as "you" or "Subscriber") and LuckyShort (hereinafter referred to as "LuckyShort," "we," "us," or "our"), governing your use of and access to LuckyShort's services (the "Services"), whether such access is through a paid subscription or a free trial. Thank you for choosing to use LuckyShort's Services. By accessing, using, or authorizing any third party to use the Services, you acknowledge that you have read, understood, and unconditionally agree to be bound by all the terms and conditions set forth in this Agreement. If you are entering into this Agreement on behalf of a company, organization, or any other legal entity (hereinafter referred to as "Entity"), you represent and warrant that you have the legal authority to bind such Entity and its affiliates to this Agreement. In such circumstances, the terms "Subscriber," "you," "your," or any similar terms shall refer to such Entity and its affiliates. If you do not possess such authority, or if you do not agree with any provision of this Agreement, you must not accept this Agreement or use any of the Services.

2. About Subscriptions

2.1 Auto-Renewal Authorization

To ensure that you, as a Subscriber, can continuously enjoy the Services without interruption, you irrevocably authorize us to automatically charge the applicable subscription fee for the next subscription period to your designated payment account prior to the expiration of the current billing period, on a recurring basis. By providing your payment details (including but not limited to credit card information, mobile payment accounts, etc.), you explicitly consent to our use of such information for the purpose of collecting subscription fees. Subscriptions may be billed on a weekly, monthly, annual, or other periodic basis, as selected by you from the billing options offered by LuckyShort.

2.2 Automatic Fee Deduction

The subscription fee for each billing period will be automatically deducted from your designated payment account at the start of such billing period. If the automatic renewal fails due to insufficient account balance, expired payment methods, or any other reasons attributable to you, you shall bear full responsibility for any interruption of the Services or other consequences arising therefrom.

2.3 Scope of Subscription Use

The content and services provided under your LuckyShort subscription are strictly limited to use within the LuckyShort website and its affiliated platforms. Any malicious or illegal activities intended to separate, extract, or disseminate the subscription-exclusive content from the LuckyShort ecosystem (including but not limited to screen recording, content downloading for unauthorized distribution, or using third-party tools to bypass subscription restrictions) are not permitted and are excluded from the scope of the Services. LuckyShort reserves the right to monitor and verify your use of the Services to ensure compliance with this Agreement. If your use is found to be non-compliant, LuckyShort has the right to charge you additional fees for the improper use and hold you liable for any damages or losses incurred by LuckyShort as a result.

2.4 Grace Period After VIP Expiration

When your VIP subscription expires, you will enter a grace period. The specific start and end dates of the grace period will be displayed to you at the time of your initial subscription. During the grace period, you will still be able to access some VIP-exclusive features, while other features will be restricted. Restricted features include, but are not limited to: 1080P HD video playback, content downloading, and ad-free viewing. We will remind you to renew your VIP subscription during the grace period, and such reminders will be sent prioritizing the payment method you previously selected. If you have enabled the auto-renewal function, the subscription fee will be automatically deducted at the end of the grace period.

3. Rights and Obligations of Both Parties

3.1 LuckyShort's Obligations

LuckyShort shall provide you with a method to check your auto-renewal subscription orders (e.g., through the account settings on the website). However, LuckyShort shall not be responsible for delivering physical or electronic invoices to you; it is your responsibility to obtain and retain relevant payment records through your payment provider. 3.2 Subscription Renewal After Payment

Upon successful deduction of the subscription fee from your payment account, LuckyShort will promptly record the payment and renew your subscription under your registered account for the corresponding billing period.

3.3 Liability for Charging Errors

If an error occurs during the fee charging process (including but not limited to duplicate charging, incorrect charging amount, etc.), LuckyShort and you shall fully cooperate to investigate and identify the cause of the error. Each party shall bear the losses caused by its own fault. If the losses are caused by the mutual fault of both parties, the liability shall be borne by each party in proportion to the degree of its fault; if the degree of fault cannot be distinguished, the losses shall be shared equally by both parties. 3.4 Modification of Services and Terms

LuckyShort reserves the right to change, modify, or update the content of the Services, service rules, and the terms of this Agreement based on business development, technical upgrades, or changes in applicable laws and regulations. Such modifications will be notified to you through the LuckyShort official website or other relevant channels. If you disagree with the modified terms, you may cancel your subscription and stop using the Services. Your continued use of the Services after the modifications take effect shall be deemed your acceptance of the modified terms.

3.5 Subscription Cancellation and Auto-Renewal

You have the right to choose to cancel your subscription at any time. If you do not cancel your subscription before the expiration of the current billing period, it shall be deemed that you agree to LuckyShort's attempt to charge the subscription fee for the next billing period in accordance with the terms of this Agreement. Once the fee is successfully charged, LuckyShort will renew your subscription for the next billing period, and no refunds will be provided for the charged fee.

3.6 Price Changes

If the service price changes before or during the auto-renewal process, the price in effect at the time of renewal shall prevail. LuckyShort reserves the right to adjust the subscription price based on market demand, cost changes, or other reasonable factors, and will notify you of any price adjustments through the official website or other relevant pages in advance.

4. Term and Termination

4.1 Effective Date and Termination

This Agreement shall take effect when you accept the Agreement (e.g., by clicking "Agree" during registration) or when you first use the Services, whichever occurs earlier. This Agreement shall terminate when you terminate the Services, cancel your subscription, or when LuckyShort terminates the Services in accordance with the terms hereof.

4.2 Termination by You

You have the right to terminate the Services at any time through the account settings on the LuckyShort website. Upon termination, LuckyShort will immediately stop providing the Services to you, but the terms of this Agreement that by their nature should survive termination (including but not limited to liability for breach of contract, dispute resolution, and governing law) shall remain in effect.

4.3 No Refunds Upon Early Termination

If you cancel your payment, terminate your paid subscription, or terminate any Services before the expiration of the current subscription period, the subscription fee you have already paid will not be refunded, in whole or in part, regardless of the reason for termination.

5. Liability for Breach of Contract

If either party breaches any provision of this Agreement, the non-breaching party has the right to demand that the breaching party rectify the breach and compensate for any direct losses caused thereby. All disputes arising from the breach shall be resolved in accordance with the dispute resolution provisions set forth in Section 6 of this Agreement. 6. Dispute Resolution and Governing Law

You and LuckyShort agree to make a good faith effort to resolve any dispute, claim, or controversy arising out of or in connection with this Agreement or the use of the Services through friendly negotiation. If the parties fail to reach a resolution through negotiation within a reasonable period of time, either party has the right to submit the dispute to the courts of Singapore for final resolution. This Agreement shall be interpreted, governed, and enforced in accordance with the laws of Singapore, excluding its conflict of laws principles.
